CONSTITUTION AND BY-LAWS OF THE DEACONESS HOSPITAL SCHOOL OF NURSING ALUMNI ASSOCIATION

Article I - Name
This organization shall be known as the Deaconess Hospital School of Nursing Alumni Association 

Article II - Purpose
Section 1 - To promote nursing as a profession
Section 2 - To support continuing education in nursing

Article III - Mission Statement 
Advance the health and well-being of the community through promotion and advancement of the nursing profession.

BY-LAWS
Article I MEMBERSHIP
Section 1 - Graduates of the Deaconess Hospital School of Nursing are eligible for active membership in this association and may become a member upon payment of dues.

Article II OFFICERS
Section 1 - The officers of this association shall be a president, a vice president, a secretary, and a treasurer.
Section 2 - The above officers, and the retiring president shall constitute the Board of Directors.
Section 3 - The Board of Directors shall appoint a new officer to fill a vacancy as it occurs.

Article III MEETINGS
Section 1 - Annual meetings shall be held annually, at a place and time designated by the Board of Directors.
Section 2 - Additional meetings may be held at the request of ten active members.

Article IV ELECTIONS
Section 1 - All officers shall be elected for the period of two (2) years. The president and secretary will be elected in the even years. The vice-president and treasurer will be elected in the odd years.
Section 2 - The officers shall be elected at the annual meeting by majority vote of the members present.

Article V DUES
Section 1 - Annual dues shall be determined by the Board of Directors.
Section 2 - Graduates of 50 years or greater may be active members without payment of dues.

Article VI DUTIES OF OFFICERS
Section 1 - The regular term of office shall commence immediately following installation at the annual meeting.

Section 2 - Officers are required to attend at least 50% of the two (2) scheduled Board meetings and the General meeting on an annual basis. Failure to meet the requirements will end in forfeiture of the office.

Section 3 - The President shall:
  a.   preside at all regular meetings.
  b.   preside at meetings of the Board of Directors.
  c.   be an ex officio member of all committees
  The president may submit a written report when leaving office.

Section 4 - The Vice-President shall:
  a.   preside in the absence of the president.
  b.   assume the office of the president in the event the president
       cannot complete term of office.

Section 5 - The secretary shall:
  a.   keep the minutes of all meetings and send copies of the minutes to all Board members and have available   for the general membership
  b.    conduct the correspondence of the association.
  c.    keep an accurate list of the names and addresses of the membership list.
  d.   coordinates annual newsletter to all known alumni

Section 6 - The treasurer shall:
  a.   pay all bills
  b.   collect all dues.
  c.   keep an accurate record of all money received and expended
  d.   may send flowers at Christmas and Easter to the Hospital for placement in the chapel in memory of
  deceased Deaconess Hospital School of Nursing alumni.
  e.   keep a list of names and addresses of paid members
  f.  review all books of account every two years with change of officers.

Section 7 - The Board of Directors shall transact the business of the Association in the interim between meetings. The Board of Directors shall meet at least ten (10) days prior to the annual meeting and as needed to conduct the business of the Alumni. Special meetings of the Board of Directors shall be called by the President as necessary. The General Membership may attend any Board meeting but shall not have voting privileges during those meetings. Board meetings will be announced on the Deaconess Hospital School of Nursing Web site (www.deaconess.com).

Article VII COMMITTEES
Section 1 - Special committees shall be established as deemed necessary by the Board of Directors

Article VIII VOTING BODY
Section 1 - The voting body shall consist of active members of the association who are present at the meetings.

  2. Reading of the minutes
  3. Report of Treasurer
  4. Reports of Special Committees
  5. Unfinished business
  6. Communications
  7. New Business
  8. Elections of officers by members present at annual meeting.
Article X FISCAL YEAR
Section 1 - The fiscal year of this organization shall be from January 1 to December 31 of the same year.

Article XI AMENDMENTS
Section 1 - By-laws may be amended at any meeting by unanimous vote of the members present.
